1. Acceptance of Terms

Welcome to Better Than Friends, LLC ("BTF") website, www.betterthanfriends.com (the "Website"), a membership based community. We help accomplished professionals age 40 and over spark better relationships including romantic, business or friendships, through curated members-only connections and experiences. These Terms(“Terms”) govern Users ("Registered Users") and paid Registered Users ("Members") access to and use of the Website, as well as your participation in our online community, in-person events and membership services (collectively, the “Services”). You must be at least 18 years old to use the Website. The content contained and referenced in the Website is provided for informational purposes only and shall not be construed as an advisory, fiduciary or professional relationship between you and BTF. 

BTF provides its website and related services including, but not limited to, certain events, venues, locations and other in-person interactions hosted or organized services, subject to the following Terms, as amended from time to time. Please read these Terms carefully and in their entirety. By applying to, creating an account with, or using our Website and Services, you agree to these Terms and our Privacy Policy. By accessing and using the Website, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Website.

2. Use of the Website and Services

You agree to use the Website and Services only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Website and Services. Prohibited behavior includes harassing or causing distress or inconvenience to any other user, transmitting obscene or offensive content, or disrupting the normal flow of dialogue within the Website.

You may not use the Website or Services:

● In any way that violates applicable laws or regulations.

● To exploit or harm minors.

● To transmit any spam, malware, or harmful content.

● To transfer your membership to any member or non-member.

● To impersonate any person, entity or misrepresent your affiliation.

We reserve the right to suspend or terminate your access to the Website and Services at our sole discretion.

3. Criminal History

By requesting to use, registering to use, and/or using the Services, you represent and warrant that you have never been convicted of a felony and are not required to register as a sex offender with any government entity. BTF does not currently conduct criminal background screenings on its Registered Users or Members. However, BTF reserves the right to conduct a criminal background check at any time and use available public records to confirm your compliance with this subsection.

4. Payment

All payments for memberships and events are final. Refunds are subject to our Cancellation Policy.

5. Code of Conduct

Registered Users and Members must behave respectfully toward others. We reserve the right to revoke access for violations of conduct.

6. Communication

By registering as a Registered User or Member, you consent to receiving text messages and emails regarding BTF, your BTF account, as well as BTF marketing.

7. Intellectual Property Rights

All content on the Website, including text, graphics, logos, images, digital downloads, and data compilations, is the property of BTF or its content suppliers and is protected by intellectual property laws. You may not copy, reproduce, modify, distribute, or otherwise use any content without the express written permission of BTF.

8. Disclaimers

The Website and its content are provided on an "as is" and "as available" basis. BTF makes no representations or warranties of any kind, express or implied, as to the operation of the Website or the information, content, or materials included on this Website. You expressly agree that your use of the Website and Services at your own risk.

9. Limitation of Liability and Indemnification

You agree to indemnify, defend, and hold harmless Your Company Name, its officers, directors, employees, agents, and licensors from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any use of the Website by you or any person accessing the Website using your Internet account. In no event shall Your Company Name be liable for any direct, indirect, incidental, special, or consequential damages arising out of your access to or use of the Website.

10. Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located within Florida to resolve any dispute arising from these Terms.

11. Cancellation and No-Show Policy

Registered Users and Members may cancel a reservation seven days before the event. (“Cancellation Period”).

● If you cancel during the Cancellation Period, you will receive an automatic refund via

your original payment method. Refunds may take 5–10 business days to process.

● No refunds are granted for cancellations made after the Cancellation Period.

12. Canceling Subscription Memberships

If you are a Member and purchased a membership from BTF, you may cancel your subscription membership via email, contact@betterthanfriends.com, at least seven days before the subscription expires. If you cancel your subscription, you may use your subscription until the end of the period you last paid for, but you will not be eligible for a prorated refund, your subscription expires and you will no longer be able to use services enabled by your subscription. BTF reserves the right to terminate a Member's subscription for violation of these Terms by sending an email notification to the Member.

13. Geographic Limitations

The Website and Services are intended for use of those that legally reside in the United States. You will only use the Services in a manner consistent with this Terms of Services and any and all applicable local, state, national laws and regulations, including, but not limited to, United States export control laws.

14. Information Submitted

You are solely responsible for, and assume all liability regarding, the information and content you provide to BTF; the information and content you post, transmit, publish, or otherwise make available through social media, on the Web and online and your personal interactions with other Registered Users and Members. 

15. No False Information. You will not provide inaccurate, misleading or false information to BTF, or to any other user. If information provided to BTF, or another User subsequently becomes inaccurate, misleading or false, you will promptly notify BTF of such change.

16. No Advertising or Commercial Solicitation

You will not advertise or solicit any Registered User or Member to buy or sell any products or services through the Website or Services. You may not transmit any chain letters, junk or spam email to other Registered Users. Further, you will not use any information obtained from the Services in order to contact, advertise to, solicit, or sell to any user without their prior explicit consent. If you breach the terms of this subsection and send or post unsolicited bulk email, “spam” or other unsolicited communications of any kind through the Services, you acknowledge that you will have caused substantial harm to BTF.

17. Sexual harassment

BTF will not tolerate sexual harassment. BTF considers sexual harassment to be but limited to any non-physical, unwanted, and unwelcome sexual behaviors among Registered Users and Members. This includes cyberflashing (i.e. sharing unsolicited sexually explicit images), in-person indecent exposure, sharing or threatening to share sexual or intimate images without the consent of the person involved or depicted, sending unwanted sexual comments or images, and fetishization. Violation of these Terms could result in BTF revocation of Members’ access to Services or legal action.

18. Unique and Bona Fide Profile

As a Registered User of the Website and Services, you may create only one unique profile with one personal email address. In addition, your use of the Website and Services must be for bona fide relationship-seeking purposes in order to maintain the integrity of the Service. Not all Registered Users are available for matching.

19. Indemnity

All the actions you make and information you post on the BTF Website and social media, remain your responsibility. Therefore, you agree to indemnify, defend, release, and hold BTF, and our investors, partners, licensors, affiliates, contractors, officers, directors, employees, representatives and agents, harmless, from and against any third party claims, damages (actual and/or consequential), actions, proceedings, demands, losses, liabilities, costs and expenses (including reasonable legal fees) suffered or reasonably incurred by us arising as a result of, or in connection with:

● any negligent acts, omissions or willful misconduct by you;

your access to and use of Services; 

● the uploading or submission of Content to the Website by you;

● any breach of these Terms by you;

● and/or your violation of any law or of any rights of any third party.

We retain the exclusive right to settle, compromise and pay any and all claims or causes of action which are brought against us without your prior consent. If we ask, you will cooperate fully and reasonably as required by us in the defense of any relevant claim.

Our Website may contain links to third-party websites. These links are provided for your convenience only. We do not control or endorse these sites and are not responsible for their content or privacy practices.

21. Disclaimer

By providing your phone number to BTF, you acknowledge and agree that we may send text messages to your wireless phone number for various purposes. Please note that message and data rates may apply. Message frequency will vary, and you retain the right to Opt-out by simply replying “STOP.” For a detailed understanding of how we handle your data, please refer to our Privacy Policy. 

22. Warranty and Liability

All content contained on the BTF website is provided ‘as is’ and is without warranty of any kind, to the extent allowed by law. We will not be liable for any indirect, consequential or incidental damages arising out of the use, inability to use or reliance on any content contained in this Website or any linked site.

23. Modifications

We reserve the right to change these Terms of Use and Services without notice. You should periodically check this page to ensure you understand the Terms of Use and Services in full at any given time.

You are entering a binding contract with BTF and affiliates(“us”). By (1) using this Website “www.Betterthanfriends.com”, and (2) by submitting your information and creating a user profile, you agree that you are giving your express written consent to all the Terms of Use and Services, as well as our Privacy Policy. You agree that your doing so constitutes your electronic signature, and is equivalent to a written signature.
